Terms & Conditions

01

About these Terms

1.1

These Terms govern memberships, gym or studio access, classes and personal training services purchased from the Fiitboxx Centre identified in the applicable Membership Summary or PT Package Summary (each a "Summary").

1.2

"Centre", "we", "us" and "our" mean the entity named as the supplier in the Summary. Fiitboxx is operated by Hashboxx Pte. Ltd. The Summary and receipt must identify the correct contracting entity.

1.3

“Member” or “you” means the individual named in the Summary. “Services” means the membership, access, classes, PT sessions and related facilities purchased by you.

1.4

Your contract consists of: (a) the Summary; (b) these Terms; (c) the rules displayed at or notified by the Centre; and (d) any specific promotion terms shown before purchase. If they conflict, the documents apply in that order, except that mandatory law always prevails.

1.5

By signing, clicking acceptance, making payment or using the Services after receiving these Terms, you confirm that you have had a reasonable opportunity to read them and that the information in your Summary is correct. We may retain electronic records of your acceptance, purchase and notices.

02

Eligibility and membership account

2.1

You must provide accurate and current contact, health and payment information and promptly update it through our app or official contact channels.

2.2

Members under 18 require the consent of a parent or legal guardian. Children under 14 may use the Centre only under the direct supervision of a Centre-approved personal trainer or under an expressly designated child programme.

2.3

Memberships, access credentials and PT packages are personal to the named Member and may not be transferred, shared, resold or used by another person unless we expressly agree in writing. We may verify identity and deactivate credentials where misuse is reasonably suspected.

03

Prices, GST and promotions

3.1

All prices displayed or quoted to members of the public, whether on our website, app, advertisements, price lists, messages or verbally, are the final prices payable and are inclusive of GST at the prevailing rate, unless the law expressly permits a different display.

3.2

Your Summary must state the total GST-inclusive price, payment frequency, commitment period and any joining, administration, freeze, cancellation or other fee that may apply. A tax invoice may show the price before GST and the GST component separately, but this does not increase the final agreed price.

3.3

If the statutory GST rate or another mandatory government charge changes after purchase, we may adjust payments falling due from the effective date of that change only where the Summary clearly permits the adjustment and we give reasonable advance notice. No other price increase applies during a fixed commitment period unless expressly stated in the Summary.

3.4

A discount or promotion applies only for the period and on the conditions stated in writing in the Summary or official promotional material. When it ends, the price changes only to the GST-inclusive amount clearly disclosed before purchase.

3.5

No employee or trainer may vary the price or these Terms unless the variation is recorded in the Summary or subsequently confirmed through an official company email, app message, receipt or written agreement. If you believe a different price or benefit was promised, please ask us to record it before you complete the purchase.

04

Term, activation and renewal

4.1

Your membership starts and ends on the dates stated in the Summary. Access passes and PT packages are valid only for the validity period shown before purchase.

4.2

A fixed-term membership does not renew automatically unless the Summary expressly says that it will. If auto-renewal applies, the Summary must state the renewal basis and price. We will send a reminder before the first renewal, and you may stop renewal using the method stated in the Summary without losing access already

paid for.

4.3

After a fixed term, an agreed month-to-month renewal may be cancelled by either party on at least 30 days’ written notice. A price change for a renewal period requires at least 30 days’ advance notice and will not affect an already-paid period.

4.4

If opening access or a service start is delayed for reasons attributable to us, the start and end dates will be adjusted fairly or, if the delay is material, you may request a refund for the undelivered portion.

05

Payments and failed payments

5.1

You authorise us and our payment service provider to charge the payment method stated in the Summary on the scheduled dates. This authorisation continues until all amounts properly due under the contract are paid or the recurring arrangement ends.

5.2

You must maintain a valid payment method. If payment fails, we may notify you, retry the charge and suspend access after a reasonable opportunity to pay. A late fee may be charged only if its GST-inclusive amount was disclosed before purchase; no fee will exceed our reasonable administrative cost.

5.3

We may use a lawful collection process for undisputed overdue amounts. You are responsible for reasonable third-party recovery costs only to the extent permitted by law and actually incurred. We will not accelerate all future dues merely because one payment is late unless this is lawful, proportionate and expressly stated in the Summary.

5.4

You should raise billing errors promptly. This does not limit any statutory right or legal limitation period.

06

Cancellation, refunds and early termination

6.1

Subject to your statutory rights, fees paid for an activated fixed-term membership, access pass or PT package are not refundable merely because you change your mind, stop attending or relocate.

6.2

You may ask to end a fixed-term membership early for serious medical incapacity, permanent relocation making attendance impracticable, bereavement, redundancy or another exceptional hardship. We may request reasonable supporting documents. Approval will not be unreasonably withheld where continued use is genuinely impracticable.

6.3

If early termination is approved, you remain responsible for amounts due up to the effective termination date and any reasonable early termination charge clearly stated in the Summary. Any charge must reflect reasonable administrative cost or recovery of a clearly disclosed upfront discount and will not exceed the unpaid fees for the remainder of the term.

6.4

If we permanently stop providing the purchased Services and cannot offer a reasonably comparable alternative, you may end the affected contract and receive a pro-rated refund of prepaid fees for the undelivered period.

6.5

Nothing in these Terms excludes a refund, remedy or cancellation right that cannot lawfully be excluded, including where Services were materially misdescribed or not provided with reasonable care and skill.

07

Membership freeze

7.1

A fixed-term membership may be frozen only under the eligibility rules, minimum period, maximum period and GST-inclusive fee shown to you when you apply. Common eligible grounds may include medical incapacity, pregnancy, national service, overseas assignment or another reason approved by us.

7.2

A freeze begins only after written approval and is not backdated unless we agree. The commitment end date will ordinarily be extended by the approved freeze period. No membership access is available during a freeze.

7.3

A request should be made through our app or Operations team with any reasonably required evidence. We will confirm the approved dates, fee and revised end date in writing before the freeze takes effect.

08

Access, bookings and Centre operations

8.1

Access is subject to opening hours, capacity, booking requirements, age restrictions, safety rules and any access limits in the Summary. A booking may be released or treated as used if you arrive after the stated grace period.

8.2

We may make reasonable changes to timetables, trainers, equipment, programmes, opening hours or parts of the premises for maintenance, safety, private events or operational needs. Where reasonably possible, we will give advance notice and offer a substitute session, location, extension or credit if the change materially affects a prepaid service.

8.3

We may relocate or temporarily close a Centre. If no reasonably comparable alternative is available for a material period, clause 6.4 applies. Nothing in these Terms allows us to retain payment for Services we permanently cannot provide without an appropriate alternative or remedy.

8.4

During events beyond our reasonable control, including government directions, public-health measures, utility failures or building closures, we may temporarily suspend or adapt Services. We will act reasonably to provide an extension, credit, remote alternative or other proportionate remedy, taking account of Services already delivered and costs that cannot reasonably be recovered.

09

Conduct, safety and suspension

9.1

You must follow reasonable safety, hygiene, booking and conduct rules; use equipment as instructed; wear suitable attire; treat staff and other users respectfully; and not engage in harassment, violence, theft, illegal activity, unauthorised commercial activity or conduct that creates a material risk or disruption.

9.2

You must not bring a non-member into restricted areas without permission, allow another person to use your access credential, or conduct paid training at the Centre unless authorised by us.

9.3

We may refuse entry, suspend access or cancel a booking where reasonably necessary for safety, payment default, investigation or a breach. Except in urgent or serious cases, we will explain the concern and give you a reasonable chance to remedy it.

9.4

We may terminate membership immediately for serious or repeated breach, fraud, violence, harassment, theft, deliberate damage or conduct posing a significant safety risk. We will refund any prepaid amount for periods after termination, less unpaid sums and our reasonable direct loss, unless the termination results from serious misconduct and retention is lawful and proportionate.

10

Health, exercise risk and emergencies

10.1

Physical exercise carries inherent risks. You are responsible for exercising within your abilities, following instructions, using equipment properly and stopping if you feel pain, dizziness or unusual symptoms.

10.2

Before beginning or continuing exercise, you should obtain medical advice if you are pregnant, injured, unwell, taking relevant medication, have a medical condition, or have been advised to restrict physical activity. You must inform the relevant trainer of information reasonably necessary to conduct a session safely.

10.3

Our staff and trainers do not provide medical diagnosis or treatment unless expressly qualified and engaged to do so. Fitness guidance is not a substitute for medical advice.

10.4

In an apparent emergency, you authorise us to contact emergency services and your emergency contact and to provide reasonably necessary assistance. You remain responsible for external medical costs, except to the extent caused by our breach of duty.

11

Liability and personal belongings

11.1

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or a breach of mandatory consumer law.

11.2

Subject to clause 11.1, we are responsible for reasonably foreseeable loss directly caused by our failure to exercise reasonable care and skill. We are not responsible for loss caused by your failure to follow instructions, misuse of equipment, undisclosed health information, another member, or an inherent risk of exercise that reasonable care could not eliminate.

11.3

Subject to clause 11.1, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the contract was made. Any other limitation applies only to the extent it is fair, reasonable and lawful in the circumstances.

11.4

You are responsible for your belongings. Lockers are provided for temporary convenience and not as secure storage. We are not liable for loss or damage except where caused by our negligence or other breach of duty. Items left behind may be handled under our published lost-property process.

12

Personal training and coaching

12.1

PT packages are personal, non-transferable and valid for the number of sessions, duration and expiry date in the PT Package Summary.

12.2

Sessions must be booked and paid for through an authorised company channel. Payments made directly to a trainer are not payments to us unless we expressly authorised that method in writing and issued a receipt.

12.3

The cancellation cut-off, late-cancellation treatment and no-show charge must be displayed before booking. A session may be treated as used only where those rules were disclosed and you cancel after the cut-off or do not attend. We may waive the rule for a verified emergency or at our reasonable discretion.

12.4

If we or a trainer cancels, the session will be rescheduled or credited and will not be deducted. If a trainer leaves or becomes unavailable, we may provide a suitably qualified replacement. If no reasonable replacement can be provided within a reasonable time, you may request a pro-rated refund for unused affected sessions.

12.5

An expiry extension may be approved for medical incapacity, pregnancy, extended travel or another documented hardship. The request should be made before expiry where reasonably possible. We will confirm any extension in writing.

12.6

PT sessions must take place at an approved Centre or other location expressly approved by us. Training independently arranged with a trainer outside our authorised systems is not supplied by us.

13

Personal data, communications and recordings

13.1

We collect, use, disclose and protect personal data in accordance with Singapore law and our Privacy Notice, including to administer membership, process payments, manage bookings, maintain safety, prevent fraud and communicate service notices.

13.2

Operational messages about your contract, payments, bookings, safety or Centre changes are not marketing messages. Marketing consent, where required, will be requested separately and may be withdrawn using the method in the message or by contacting us. Withdrawal does not affect necessary service communications.

13.3

We will not rely on acceptance of these Terms alone as consent to disclose personal data to unrelated marketing partners. Any such disclosure requires a proper legal basis and will be described in the Privacy Notice or a separate consent.

13.4

CCTV may operate for security and safety. Photography or recording for promotional use will be based on notice and any consent required by law. Members must not record others in private areas or in a way that infringes privacy.

14

Changes to these Terms

14.1

We may update these Terms for legal, safety, security, technology or operational reasons. A change will not retrospectively increase the agreed price, extend a fixed commitment or materially reduce prepaid benefits unless required by law or accepted by you.

14.2

We will give reasonable notice of a material change through email, app notice or another durable written form. If a material adverse change is not legally required and substantially affects an ongoing service, we will offer an appropriate option, which may include continuing on the existing terms until the end of the fixed term or ending the affected service without a punitive fee.

15

Notices, complaints and disputes

15.1

Notices from you must be sent through the method specified in the Summary, our app, or to our published customer-service email. We may send notices to the latest email address, mobile number or app account you provided. A notice is treated as received when delivered, subject to evidence of delivery failure.

15.2

Please raise a complaint with our Operations team first, giving your name, membership details and the outcome sought. We will investigate and aim to respond within a reasonable time.

15.3

These Terms and the contract are governed by Singapore law. The Singapore courts have non-exclusive jurisdiction. Nothing prevents either party from using mediation, CASE or another appropriate dispute-resolution

process.

16

General

16.1

These Terms do not remove any right or remedy that cannot be excluded under Singapore law.

16.2

If a provision is invalid or unenforceable, it will be read down to the minimum extent necessary and the remainder will continue in effect.

16.3

A delay in enforcing a right is not a waiver. A waiver applies only to the specific instance confirmed in writing.

16.4

We may assign or transfer the contract as part of a genuine business reorganisation, sale or transfer of the Centre, provided your material rights are not reduced. You may not assign it without our written consent.

16.5

A person who is not a party to the contract has no right to enforce it under the Contracts (Rights of ThirdParties) Act 2001, except a permitted successor or assignee.

16.6

The Summary and documents listed in clause 1.4 contain the entire agreement. This does not exclude liability for fraud, misrepresentation or an authorised written representation on which you reasonably relied.
